Terms and Conditions

The rules for using this website and buying our source code, installation services and custom software development.

Effective 30 Oct 2026

1. About these terms

These Terms and Conditions ("Terms") apply when you use uplyne.in (the "Website") or buy anything from UPLYNE. "UPLYNE", "we", "us" and "our" mean UPLYNE. "You" means the person or business using the Website or buying from us.

By creating an account, placing an order or accepting a quotation, you agree to these Terms. They work together with our Privacy Policy, Refund and Cancellation Policy, Software License Policy, Digital Delivery Policy and Cookie Policy. A product page or a written quotation may add more specific terms. Where it does, the more specific terms apply to that product or project.

2. What we offer

  • Ready-made products: website scripts, web application, SaaS and business software source code, templates and tools, sold through the marketplace as digital downloads under a licence.
  • Installation services: an optional, separately priced service in which our team installs a purchased product on your hosting.
  • Custom software development: websites, web applications, SaaS products, business software, automation tools and other technology solutions built to your requirements, under a written quotation.
  • Hosted or SaaS services, where offered: if we agree to host or operate software for you, the terms in section 10 also apply.

We do not sell physical goods, and nothing is shipped.

3. Who can use the Website

You must be at least 18 years old and able to enter into a binding contract under Indian law. If you act for a business, you confirm you are authorised to bind it.

4. Your account

  • Give accurate details and keep them up to date. We send order confirmations, invoices and download access to the email on your account.
  • Keep your password confidential. You are responsible for activity under your account. Tell us at once if you think someone else has used it.
  • One account per person. Accounts may not be shared or resold.
  • We may suspend or close an account that breaks these Terms, is used for fraud, or puts other users or our systems at risk. Where we can, we tell you why.

5. Product information and pricing

  • Prices are in Indian Rupees (INR, ₹). The source code price and the installation price are shown separately. Checkout shows the full total, including any discount and any tax that applies, before you pay.
  • We describe products accurately and list their technical requirements. Screenshots and demos show how a product works and may contain sample data.
  • If a price or description is clearly wrong, for example because of a typing error, we may cancel the affected order before delivery and refund any amount paid in full.
  • We may change prices and products at any time. Changes do not affect orders already paid.

6. Orders and payment

  • Online payments are processed by our payment provider, Razorpay. You enter card, UPI or bank details on Razorpay's secure checkout, not on our Website.
  • An order is confirmed only after our server has verified your payment with Razorpay. A "success" message in your browser is not, on its own, a confirmation. If money is deducted but the order is not confirmed, see the Refund and Cancellation Policy.
  • We issue an invoice for every verified purchase. You can view and download it from My Account › My Orders.
  • We may decline or cancel an order that looks fraudulent or breaks these Terms. If we cancel a paid order, we refund the amount paid.

7. Ready-made source code products

  • Delivery: after the payment is verified, the files become available in My Downloads. See the Digital Delivery Policy.
  • Licence, not ownership: you receive a licence to use the product on the terms of the Software License Policy and the product page. Copyright stays with us or with the original authors.
  • No redistribution: you may not resell, share, publish or give away the source code, whether as it is or modified, except as the licence expressly allows.
  • Before you buy: check the requirements on the product page, such as server software, PHP or framework versions, database and third-party accounts. You are responsible for making sure your environment meets them.
  • Customisation is not included in a product's price unless the product page says so. We can quote for it as a custom development project.

8. Installation services

  • The installation service is a separate professional service. It is available only for products that offer it, at the price shown.
  • What it covers: installing and configuring the purchased product on hosting you provide, so that it runs as described on its product page. It does not include custom changes, design work, content entry, data migration or third-party account setup, unless agreed in writing.
  • Your responsibilities: provide working hosting that meets the product requirements, a domain or subdomain, and the access we need, such as a hosting panel, FTP/SFTP, a database and email/SMTP details where required. Use access you are entitled to share, and change shared passwords once the work is complete.
  • Process: after purchase the status is Pending. It changes to Processing while we work, and to Complete when we have finished. You can see it in My Orders, and we email you when it is complete.
  • Delays: if we cannot proceed because access is missing, the hosting does not meet the requirements, or we get no reply, the installation stays on hold until the issue is resolved.
  • Completion: the service is complete when the product is installed and reachable on your hosting as described. If something does not work because of our installation work, tell us promptly and we will correct it.
  • Cancellation and refunds are covered in the Refund and Cancellation Policy.

9. Custom software development

9.1 Quotation and scope. Every custom project is based on a written quotation or proposal ("Quotation"). It describes the scope and deliverables, the technologies, the price, the payment schedule, the milestones and the estimated timeline. Work starts once you accept the Quotation and pay any advance it requires. Anything not described in the Quotation is outside the scope.

9.2 Payments and milestones. You pay as set out in the Quotation, for example an advance and then payments at agreed milestones. We issue an invoice for each payment. If a payment is overdue, we may pause work until it is made, and the timeline moves accordingly.

9.3 Timelines. Timelines in a Quotation are estimates. They depend on you supplying content, feedback, approvals and access on time. We keep you informed of progress and of anything that affects the schedule.

9.4 Change requests. You may ask for changes at any time. Changes outside the agreed scope are quoted separately for cost and time, and we carry them out once you approve them in writing.

9.5 Revisions. The Quotation states the revisions included. If it does not, we make reasonable revisions that stay within the agreed scope. Revisions that add new features or change the agreed design are change requests.

9.6 Review and acceptance. We deliver work for your review at each milestone. You check it against the agreed scope and report any defects in writing. We fix defects that do not meet the agreed scope. A milestone is accepted when you confirm it, or when it is used in live operation.

9.7 Delivery. Final deliverables, such as source code, a deployed application or documentation, are delivered as set out in the Quotation. This may be a code repository, a download, or deployment to your hosting.

9.8 Ownership. Unless the Quotation says otherwise, once you have paid in full, the rights in the custom code written specifically for your project pass to you. We keep ownership of our pre-existing tools, libraries and components, and of general know-how. You receive a perpetual licence to use those as part of your project. Third-party and open-source components remain under their own licences. Until full payment, delivered work is licensed to you for review only.

9.9 Confidentiality. We keep your business information and data confidential. We use it only to deliver the project, and we disclose it only where the law requires. You may ask us to sign a separate non-disclosure agreement.

9.10 Cancellation. Either party may cancel a project by written notice. You pay for work completed up to the cancellation date and for any third-party costs already incurred on your behalf, such as licences, domains or paid APIs. How any advance is handled is set out in the Refund and Cancellation Policy and the Quotation.

9.11 Post-delivery support. Any support or bug-fix period after delivery is stated in the Quotation. After that, maintenance and further development are available under a new agreement.

10. Hosted and SaaS services (where offered)

If we host or operate software for you, for example a SaaS subscription or an application we run on your behalf, the plan, price, billing period and service scope are as stated in your order or Quotation. You may cancel to stop future renewals. We work to keep hosted services available but do not guarantee uninterrupted operation, and we may carry out maintenance. You are responsible for the data you put into the service and for using it lawfully. When a hosted service ends, we will give you a reasonable opportunity to export your data, unless the Quotation says otherwise.

11. Your technical responsibilities

  • Keep backups of your website, database and files before any installation, update or deployment.
  • Keep your hosting, server software, credentials and any third-party accounts secure and up to date.
  • Use our products and deliverables lawfully, including laws on data protection, consumer protection, taxation and electronic communications.

12. Third-party services and dependencies

Our products and projects may rely on third-party software, libraries, APIs and services, such as payment gateways, email, SMS, maps and cloud services. These are provided by their owners under their own terms and prices. We are not responsible for their availability, pricing or changes. Where a third party changes or withdraws a service, updating your software to match is a separate piece of work unless agreed otherwise.

13. Support

  • Ready-made products: help with accessing your files and with problems where the product does not work as described on its product page.
  • Installation: fixing problems caused by our installation work, reported promptly after completion.
  • Custom projects: as stated in the Quotation.

Support does not include custom development, training, hosting administration or problems caused by changes made by you or someone else. We do not promise unlimited support or lifetime maintenance. To ask for help, open a support request.

14. Compatibility and warranties

We supply products and services with reasonable skill and care, and products as described on their product pages. Beyond that, and to the extent the law allows, products are provided without further warranties of any kind. This includes warranties that a product suits a purpose not described, or works with environments or third-party services not listed in its requirements. Nothing in these Terms limits any rights you have that cannot be excluded under applicable law.

15. Intellectual property

The Website, our brand, our logos and our products are protected by copyright and other laws. Except for the licence you receive with a purchase, or the rights transferred under section 9.8, nothing in these Terms gives you any right to them.

16. Refunds and cancellations

These are explained in our Refund and Cancellation Policy. It treats ready-made source code, installation services, custom development and hosted services separately.

17. Prohibited use

You must not:

  • share, resell, publish or redistribute our source code except as the licence allows;
  • try to gain unauthorised access to the Website, other accounts, our systems or download files;
  • interfere with the Website's security, for example by probing, scanning, overloading or injecting code;
  • use the Website or our products for anything unlawful, fraudulent, harmful or infringing;
  • give false information, use someone else's payment method without permission, or file false payment disputes;
  • copy or scrape the Website or its content.

18. Fraud and abuse prevention

To protect customers and our business, we may verify orders, limit repeated failed logins and requests, and keep security logs. Where there is abuse or a licence violation, we may suspend accounts, revoke download access, and report it to the relevant authorities.

19. Website availability

We aim to keep the Website available but do not guarantee it will always be available or error-free. We may suspend it for maintenance, security or reasons beyond our control. Your purchased files stay linked to your account, and you can contact us if you cannot reach them.

20. Limitation of liability

To the extent permitted by law:

  • we are not liable for indirect or consequential loss, such as lost profit, revenue, data or business opportunity;
  • our total liability for any claim about a product or service is limited to the amount you paid us for that product or service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

21. Disputes, governing law and jurisdiction

If you have a concern, please contact us first. Most issues can be resolved quickly, and the grievance contact below is there for anything we have not resolved. These Terms are governed by the laws of India. Subject to any rights you have under consumer protection law, the competent courts in India have jurisdiction.

22. Changes to these Terms

We may update these Terms. The version published on this page, with its effective date, applies to orders placed and quotations accepted after that date.

23. Contact and grievance officer

We acknowledge complaints within 48 hours and aim to resolve them within one month of receipt.
