1. Overview
When you buy a ready-made product from UPLYNE, you are buying a licence to use the software. You are not buying the copyright. This policy sets out the standard terms of that licence.
The product page comes first. Each product page shows the licence that applies to that product. If a product page sets out different or extra licence terms, for example a multi-site, extended or open-source licence, those product-specific terms apply to that product. Otherwise, the Standard Licence below applies.
Software written specially for a client under a custom development quotation is covered by that quotation and by section 9 of our Terms and Conditions, not by this policy.
2. Definitions
- Product: a ready-made item sold on the marketplace, such as a website script, web application, SaaS or business software source code, a template or a tool, including its files and documentation.
- Licensee / you: the person or business named on the order.
- Proprietary code: the parts of a Product written and owned by UPLYNE or its suppliers.
- Third-party components: libraries, frameworks, fonts, icons, images and other material inside a Product that belong to other people. These include open-source components released under open-source licences such as MIT, BSD, Apache or GPL.
- End product: a single website, application or system you build or run with the Product.
- Installation: one deployment of the Product, serving one domain, subdomain or application instance.
3. Delivery and start of the licence
The licence starts when your payment has been verified and the Product is made available in My Account › My Downloads. Your invoice and order record show what you licensed and when.
4. Standard Licence: what you may do
- Use: use the Product for one end product, for yourself or your business, or for one client of yours.
- Install: run one production installation. You may also keep private development, staging and backup copies of that same end product.
- Modify: change, extend, customise and rebrand the Product for that end product.
- Commercial use: use the end product in a business, including charging your own customers for using the end product.
- Updates: download any updates we publish for the Product while your download access is active.
If you need more installations or end products, buy an additional licence for each one, or contact us about an extended licence.
5. What you may not do
- Resell, sublicense, rent, share, give away or publish the source code, whether as it is or modified, or any part of it as source code.
- Offer the Product, or a modified version of it, for download or sale as a script, template, theme, plugin or source code package, including on marketplaces or public code repositories.
- Use the Product to build a product that competes with it as source code, for example a "clone" for resale.
- Remove or hide copyright, licence or attribution notices in the code or documentation.
- Use the Product for anything unlawful, or in a way that infringes the rights of others.
6. Ownership and copyright
Copyright and other rights in the proprietary code remain with UPLYNE or its suppliers. The licence gives you a right of use only. Your own content, data and the modifications you write yourself belong to you.
7. Third-party and open-source components
Products may include third-party components. Where we know of them, they are listed in the product documentation or in licence files inside the download.
- UPLYNE does not claim ownership of third-party components. They remain under their own licences, and you must follow those licences.
- For an open-source component, your rights in that component come from its own open-source licence. Nothing in this policy restricts any right that licence gives you, and the restrictions in section 5 apply only to our proprietary code.
- Some components need their own account, key or paid licence, for example payment gateways, SMS or email services, maps and premium fonts. Unless the product page says otherwise, getting and paying for these is your responsibility.
8. Support and maintenance
- Support for a Product covers access to the files and problems where the Product does not work as described on its product page. See section 13 of the Terms and Conditions.
- Support does not include customisation, training or problems caused by modifications or by a server environment that does not meet the requirements.
- We do not promise lifetime maintenance or that a Product will be updated for future versions of servers, browsers or third-party services.
9. Updates
If we publish an update or a new version of a Product, it appears in My Downloads while your download access is active. Updates are provided at our discretion, and the product page and changelog list what changed. Unless the product page says otherwise, a major new version may be sold as a new Product.
10. Licence violations and termination
- If you breach this policy, we may end the licence, revoke your download access and take legal action to protect our rights.
- The licence also ends if the order is refunded in full.
- When the licence ends, you must stop using the Product and delete every copy, including copies of the source code in deployed systems.
- Sections 5, 6 and 7 continue to apply after the licence ends.
